Terms and Conditions for Merchants and Businesses (B2B)

This framework service agreement (hereinafter, the "B2B Terms") governs the commercial relationship between Perk Drop SL (owner of the Tredi and Tredi Partner technological platforms, Tax ID B05620273, located at Calle Provença, 62, 08029 Barcelona, Spain) and the individual or legal entity registering a commercial, hospitality, or brand establishment (hereinafter, the "Merchant") for publishing, broadcasting, and managing promotions, events, and discount vouchers (Treds).

1. Account Registration, KYCB Verification, and Architecture

The person completing the Merchant registration represents and warrants under their sole responsibility that they possess adequate legal authority to act on behalf of the business entity.

  • Accuracy of Information: The Merchant must submit authentic tax details (registered legal name, Tax ID, point-of-sale address, postal code, and phone number). Perk Drop SL reserves the right to audit and request supporting corporate documentation prior to account activation.
  • Business Group vs Physical Branch Architecture: Per system architecture, the parent business group (business_group) governs brand identity, billing, and Stripe subscription tiers, while each physical branch (operator) exclusively controls its physical location, opening hours, and register check-ins.

2. Economic Model: 0% Commission and SaaS Subscriptions (Stripe)

Guiding Financial Principles:

  • 0% Commission Philosophy:Tredi charges zero percentage fees, zero variable commissions, and zero cuts from sales tickets generated at the Merchant's physical establishment. 100% of the customer payment collected at the counter belongs to the Merchant.
  • SaaS Subscription Plans:Tredi's monetization is built around recurring software tiers (Free, Pro, Enterprise) determining the number of active products with linked offers and access to advanced commercial analytics.
  • Secure Billing via Stripe Billing:Subscription fees are processed securely via Stripe Payments Europe Ltd. Monthly or annual subscriptions renew automatically unless explicitly canceled in the Merchant dashboard.
  • No Long-Term Lock-In:Merchants may downgrade or cancel their paid plan at any time without financial penalties, retaining full access to subscribed features until the end of the paid billing period.

3. Compliance with the Omnibus Directive (EU 2019/2161) and Price Transparency

Pursuant to Directive (EU) 2019/2161 on consumer protection and national consumer legislation:

Previous Price Rule (Last 30 Days): Any discount or rebate percentage published on Tredi must be calculated strictly against the lowest price applied by the Merchant to that identical product or service within the thirty (30) calendar days prior to the promotion's release.

Ban on Artificial Price Inflation: Artificially inflating standard menu prices prior to releasing an offer on Tredi to simulate steeper discounts is strictly prohibited. The Merchant assumes sole civil and administrative liability for any penalties imposed by Consumer Protection Authorities.

4. Obligations in Tred Redemption and Customer Treatment

By publishing Treds on the platform, the Merchant enters into a binding commitment toward consumer users:

  • Obligation to Honor Active Offers:The Merchant is contractually required to accept and apply the promotion to any customer presenting a valid, active Tred within the hours and terms agreed in the product listing.
  • Prohibition of Hidden Minimum Spends:The Merchant cannot demand undisclosed minimum expenditures, supplemental surcharges, or mandatory extra purchases not clearly stated in the public App listing.
  • Equal Treatment and Service Quality:The Merchant commits to delivering the exact same quality, portion size, attention, and hospitality standard to Tredi customers as provided to regular patrons.
  • Display of Physical QR or B2O Register Check-in:The Merchant agrees to display the official branch QR code provided by Tredi in a visible spot or validate redemptions via the B2O register app using the 4-digit PIN.

5. Strict Duty of Confidentiality and Data Protection

During register validation, merchant staff temporarily view the customer's first name and surname initial, alongside the Tred ID (R########) and 4-digit PIN:

  • The Merchant shall process this data solely to verify redemption authenticity and deliver the contracted service.
  • Incorporating customer details into external marketing lists, WhatsApp Business broadcast groups, or third-party CRM systems without independent prior consent is strictly prohibited.
  • The Merchant shall be directly liable to Perk Drop SL and the Data Protection Authority for any data breach or misuse of customer data attributable to staff or register devices.

6. Warranty of Licenses and Indemnity

The Merchant represents and warrants that it holds all operating licenses, sanitary authorizations, food handling certifications, and trademark rights required to run its establishment legally. The Merchant shall defend and hold harmless Perk Drop SL from any third-party claims, consumer lawsuits, foodborne illness liabilities, or administrative fines arising from its premises or promoted items.

7. Content Moderation, Suspension, and Termination

Perk Drop SL reserves the right to suspend or terminate the agreement and disable the Merchant profile immediately upon:

  • Unjustified or repeated refusal to accept valid Treds from customers.
  • Breach of the EU Omnibus Directive via deceptive pricing or misleading discounts.
  • Payment default on SaaS subscription invoices or payment fraud.
  • Subsequent loss of municipal operating permits or severe sanitary citations.

8. P2B Transparency and Mediation Regime (EU Regulation 2019/1150)

In accordance with Regulation (EU) 2019/1150 (Platform-to-Business) on promoting fairness and transparency for business users:

A. Main Ranking and Classification Parameters

Organic promotion visibility in search feeds and the interactive map is determined by: (1) Physical proximity calculated between the user device and venue, (2) Real-time redemption window and remaining stock, (3) Verified customer ratings, and (4) Optional Smart-CPC visibility upgrades clearly labeled as sponsored.

B. 30-Day Notice for Contractual Amendments

Any material modifications to these Terms or SaaS pricing plans shall be notified to the Merchant with at least thirty (30) calendar days' advance notice before taking effect, unless subject to legal orders or emergency anti-fraud measures.

C. Out-of-Court P2B Commercial Mediation

To resolve commercial disputes that cannot be settled amicably, the parties may engage designated independent mediation organizations:

  • Tribunal Arbitral de Barcelona (TAB)
  • Consolat de Mar / Official Chamber of Commerce, Industry and Navigation of Barcelona

9. Governing Law and Commercial Jurisdiction

This commercial contract is governed entirely by the substantive laws of Spain. For any litigation arising from the interpretation, execution, or termination of these B2B Terms, the parties waive any other forum and submit to the exclusive jurisdiction of the Courts and Tribunals of the city of Barcelona.
